A unitary board is comprised of executive and non executive directors.

As the implementation of this recommendation requires advice from the Board of Trustees, it will need to be considered by the Board at its next session.

A large number of executive and alternate directors of the Boards of the World Bank and of IMF and the Deputy Director General of the World Trade Organization participated in the meeting.

III. Third session of the Board of Trustees

The meeting of the board of directors will now come to order.

At its tenth session, the Board recommended another travel grant to the beneficiary.

These structures may include committees or groups to which the board has assigned duties regarding the oversight of executive remuneration, audit matters, appointments to the board, and the evaluation of management performance.

The Assembly will now hear an address by Mrs. Virginia Vargas, Founding Director and Executive Board Member of the Flora Tristan Centre for Peruvian Women.

Recently, the Board of Executive Directors approved new loan document and procurement guidelines.

It is recognized that not all non executive directors can be considered independent directors.

During the session it examined information regarding the implementation of recommendations, financial situation of the Fund and new projects.

It requests the University Board of Trustees and Administration to follow up the implementation, as soon as possible, of the RESOLUTIONS contained in the report.

For example, the Cadbury Report recommended that where the roles were combined, there should be a strong independent element on the board and that there should be a lead non executive director to whom issues regarding the executive management could be addressed.

The Board was expected to hold its first meeting in early 1996.

Recommendations of the Board of Trustees at its seventeenth session

The 2005 meeting was preceded by extensive consultations within the Economic and Social Council, and between the members of the Bureau of the Council and the management of the Bretton Woods institutions, the World Trade Organization and the United Nations Conference on Trade and Development, as well as by separate meetings with Executive Directors of the International Monetary Fund (IMF) and the Executive Board of the World Bank.

The Board recommended that the Bureau of the Forum at its fourth session in 2005 invite the Chairperson, or any other member of the Board, to deliver a statement on the implementation of the mandate given to the Fund by the General Assembly in its resolution 56 140 of 19 December 2001.
