if the assets sold are equity, the total assets, business income and net assets are respectively the product of total assets, business income and net assets of the invested enterprise and the equity percentage of the investment.

Such advantage may be an asset of any kind, tangible or intangible, movable or immovable, as well as the legal deeds or documents certifying title to or rights over the asset.

In those legal systems, it was observed, the assignee would have a personal claim to obtain the asset received by the assignor in payment of the receivable (which could be, e.g., a claim based on the principles of unjust enrichment) but not a property right in that asset ( i.e. the assignee had a right ad personam and not in rem in that asset).

(ii) The seller or financial lessor of the same encumbered asset that has retained title to it pursuant to an acquisition security right
